By accessing or using SocialBoost's website, services, or any applications (collectively, the "Services"), you are agreeing to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use the Services.

2. Services Description

SocialBoost provides digital marketing services, including but not limited to social media management, content creation, social media advertising, and email marketing. The specific services to be provided will be detailed in the service agreement or contract between SocialBoost and the client.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

3. Client Responsibilities

As a client of SocialBoost, you agree to:

  • Provide timely and accurate information as required for the delivery of services.
  • Review and approve content in a timely manner.
  • Provide access to necessary accounts and platforms as required for service delivery.
  • Pay all fees as outlined in your service agreement or contract.
  • Comply with all applicable laws and regulations, including those related to advertising, marketing, and privacy.

4. Payment Terms

Payment for services is due according to the terms outlined in your service agreement or contract. Unless otherwise specified:

  • Monthly service fees are due on the 1st of each month for services to be rendered that month.
  • Setup fees or one-time service fees are due upon signing the service agreement.
  • Late payments may incur a late fee of 1.5% per month or the maximum allowed by law.
  • If payment is not received within 15 days of the due date, services may be suspended until payment is made.

5. Intellectual Property

SocialBoost retains ownership of all intellectual property created in the course of providing services, including but not limited to designs, content, strategies, and methodologies, unless specifically agreed otherwise in writing.

The client retains ownership of all intellectual property provided to SocialBoost for use in delivering services, including but not limited to logos, brand materials, and product information.

Upon full payment for services, the client is granted a non-exclusive license to use the materials created by SocialBoost for the client's business purposes.

6. Confidentiality

Both SocialBoost and the client agree to maintain the confidentiality of any proprietary or sensitive information shared in the course of the business relationship. This includes business strategies, customer lists, pricing information, and any other information designated as confidential.

7. Term and Termination

The term of service will be as specified in your service agreement or contract. Either party may terminate the services according to the terms of that agreement.

In general, termination requires:

  • A 30-day written notice for monthly services.
  • Payment of any outstanding balances.
  • Return or deletion of any confidential information.

Upon termination, the client will lose access to any SocialBoost tools, platforms, or resources provided during the service period.

8. Limitation of Liability

SocialBoost shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Services.
  • Any changes made to the Services.
  • Unauthorized access to or alteration of your transmissions or data.
  • Statements or conduct of any third party on the Services.
  • Any other matter relating to the Services.

In no event shall SocialBoost's total liability to you for all claims exceed the amount paid by you to SocialBoost during the 12 months preceding the event giving rise to the liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless SocialBoost and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
